7 people control Anthropic voting power in IPO, prospectus states
The prospectus for Anthropic’s initial public offering reveals that seven specific individuals will hold the majority voting authority over the company.

This information was initially published on Protos under the title "Anthropic IPO Live: 7 people will control voting power."
Anthropic submitted its paperwork on Monday to become publicly traded on the Nasdaq under the ticker symbol ANT. While the public will soon be able to purchase ANT and cast one vote per share, the CEO, Dario Amodei, along with six other individuals, will possess 50.1% of the voting power, meaning no one else can outvote them. The maker of the Claude AI clarified in its prospectus that seven people constitute members of Founder LLC. This entity will hold one share of Anthropic’s Class F common stock at the time of the IPO, and this Class F stock grants 50.1% of the vote on matters concerning general stockholders. The filing identifies these seven individuals as Dario Amodei, his sister Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish, and Christopher Olah. Although Reuters had previously mentioned Founder LLC in September, the prospectus formally confirms this majority voting control.
Furthermore, the possibility exists that as few as four people could dictate the voting power for Anthropic, given that Founder LLC casts the votes; however, a majority of its members must agree. Therefore, any four of the seven members of Founder LLC can control the vote associated with its single Class F share.
Anthropic’s IPO doubles the value of its own books. The company also issues a warning stating that “regardless of how they vote,” Class A buyers are unable to influence a stockholder vote or a director election. Notably, Benjamin Mann, who has been employed at Anthropic since January 2021, is not listed among the members of Founder LLC. The prospectus acknowledges that he is “often referred to as a co-founder,” yet because he is not a member of Founder LLC, he has no involvement in the 50.1% voting power held by the LLC. Anthropic, on its part, asserts its belief that these seven individuals are “distinctly equipped to be stewards of our mission.” Public investors will have to accept this assertion, as their voting efforts cannot alter this structure.
Additional surprising information is surfacing from Anthropic’s IPO documentation, and Protos intends to provide live updates as more news emerges. The liveblog period has concluded, and there are currently no further liveblog updates available.
